Here's the rough design, probably will change a lot while sculpting this character.
Backstory:
"There was a little prince, a prince that lived under the sea. Little prince had a little friend, a friend that could tear everything apart, everything but the little prince. Everyone was afraid of his little friend, everyone but the little prince."
Time flew, they grow up. Little prince became a man, and a man must be sent to the war, fighting for his people. The day had come, prince must say goodbye to his little friend, little friend went crazy, destroying everything around him, little friend then dragged the prince running away from the castle, the prince was afraid, he drew his weapon and slashed to his friend, his friend lost an arm, the prince ran away, back to the castle.
"Sun's falling...", Prince stopped running and said.
It was actually a giant fireball cast by the fire legion.
The fireball went through the surface of the sea and hit the castle, it burned everything even with the water around. Everyone in the castle was burn to death, including the king. Those people around the castle were coralized due to the high temperature. The shock wave was spreading fast, the prince closed his eyes and accepted his fate, he started feeling his right arm burning, but then he felt himself covered by something cold, he opened his eyes, it was his friend protecting him with his body, the prince was saved. His friend was fine due to the hard shell on his back.
The prince then gathered those who survived the attack, hid in the deep sea.
One day they will be back to the dying sea and come after the living one.
*People who lives under the sea can't stand the high temperature, their body will start coralizing if the temperature get too high.
Great! A very good Backstory, I can't wait to see how you bring the concept to 3d. A bit dire and tragic but I like that they end up together.
I did some changes on the design, I guess this will probably be the final overall look if nothing goes wrong! Detail will be sculpted in zbrush.

This design is my thing, I love underwater stuff like that. Especially octopus, such a cool creature ^^

Progress
Having hard time on designing this little companion, need more ref.
That's my progress for today.
I'm gonna do some research on the little companion design. I still haven't do the tentacles and the coral on his arm yet, will block it out in the next update.
I realize that my design is kinda lack of water element, so Im gonna change my design again, I will cleanup the sketches when I'm back from work. His little companion is replaced with a dying coral fish with water element, the prince will have a water cloak.
I really like the silhouette of your character in the second image. The shapes of the rounded octopi tentacles and sharp coral appendages compliment each other well.
Your character clearly reads to be a creature of the Water element, so I don't think he needs changing too much. Maybe consider thinking about how his appendages or weapon can be bolstered by utilising water, like using water pressure to shoot projectiles from his body or using his tentacles to create whirlpools. Whatever you believe works.
(Edit: At least what's possible in a 3D entry. I forgot I was in the 3D section writing this, so my ideas might not be feasible. 
)
Thanks for your opinion!! It helps! I was having trouble either design a new one or continue with the last one since I don't have much time left.. but I think I'm gonna remain my previous design cuz I really want to see how it's gonna turn out in the end!
